Terms of Service

Sniffo ("Sniffo," "we," "us") provides a hosted software service that helps teams collect and organize public market signals (for example from Reddit and from web pages you choose), surface them as opportunities, and use tools such as scoring and optional AI-assisted drafting. The Service, its documentation, and related websites are together the "Service."

Sniffo is a business tool. It does not guarantee revenue, product-market fit, or the accuracy of any third-party content we retrieve on your behalf.

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account.

The Service is organized around workspaces. Your workspace may include multiple users with roles (such as owner, admin, or member). Owners and admins may invite others; each user's use of the Service is subject to these Terms.

You must be legally able to enter a binding agreement in your jurisdiction. If you use the Service on behalf of a company, you represent that you have authority to bind that organization.

You agree not to:

• Use the Service in violation of law, or to infringe others' intellectual property, privacy, or publicity rights.
• Configure sources, competitors, or URLs in a way that you are not authorized to access, or that circumvents technical limits, rate limits, or access controls of third-party sites or APIs.
• Attempt to probe, scan, or test the vulnerability of the Service, or interfere with other users' access.
• Reverse engineer the Service except where applicable law expressly permits despite this limitation.
• Resell or redistribute the Service without our written agreement, or use it to build a competing product by systematically scraping our UI or APIs outside normal use.

You are responsible for the URLs, subreddits, competitor sites, and other configuration you supply. You represent that you have the rights and, where needed, consents to point Sniffo at those resources for your own business purposes.

Sniffo may retrieve and process publicly available information from sources you configure, including Reddit (via Reddit's public interfaces) and websites (via HTTP requests, and when necessary through third-party fetch or proxy infrastructure such as Bright Data) to obtain page content. Availability, format, and legality of accessing those sources can change; we do not control third-party sites.

Third-party content remains subject to those third parties' terms and policies. Your use of Reddit, scraped sites, and other sources through Sniffo must comply with their rules and with applicable law.

Optional features may generate suggested text (for example draft replies) using machine learning services (such as OpenAI). Output may be incorrect, incomplete, or unsuitable for your context.

You are solely responsible for reviewing, editing, and deciding whether to use any AI-generated content, including compliance with platform rules, advertising standards, and law. AI output is not legal, financial, or professional advice.

AI features may be subject to plan limits, usage counters, or fair-use practices described in the product or billing UI.

Paid plans, trials, and upgrades are processed through Stripe. By subscribing, you agree to Stripe's terms and to our charging your payment method according to the plan you select. Trial length, renewal, cancellation, invoices, and payment methods are managed as shown in the Service and in Stripe's customer billing flows (including the billing portal where available).

Fees are non-refundable except where required by law or expressly stated in writing by Sniffo. If you cancel, you may retain access until the end of the current billing period or trial as applicable.

We may change prices or plan limits with reasonable notice; continued use after a change may constitute acceptance.

Sniffo and its licensors own the Service, including software, branding, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes during your subscription or trial.

You retain ownership of your business profile data, notes, and other content you submit. You grant Sniffo a license to host, process, and display that content only as needed to provide and improve the Service (including security, support, and aggregated analytics that do not identify you personally).

Personal data you provide (such as account and billing information) is processed to operate the Service, authenticate users, and comply with law. How we use cookies, logs, and analytics may be described in in-product notices or a separate privacy policy if we publish one on the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OPPORTUNITIES OR SCORES REFLECT REAL-WORLD OUTCOMES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SNIFFO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID SNIFFO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT HAD A PAYMENT OBLIGATION.

Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted by law.

You will defend and indemnify Sniffo and its affiliates, officers, and employees against any third-party claims, damages, and costs (including reasonable attorneys' fees) arising from your content, your configuration of sources, your use of AI output, or your violation of these Terms or applicable law.

We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or if we discontinue the Service (with reasonable notice where practicable). You may stop using the Service and cancel your subscription through the billing tools we provide.

Provisions that by their nature should survive (including disclaimers, limitations, indemnity, and governing law) will survive termination.

The Service relies on subprocessors and integrations such as hosting providers, payment processors (Stripe), AI providers (e.g. OpenAI), data infrastructure (e.g. Bright Data when configured), and database services. Their availability and terms may affect the Service. We are not responsible for third-party failures beyond our reasonable control.

These Terms constitute the entire agreement between you and Sniffo regarding the Service and supersede prior oral or written understandings on that subject. If a provision is unenforceable, the remainder stays in effect.

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign without our consent.

Governing law and venue: unless mandatory local law requires otherwise, these Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, and exclusive jurisdiction for disputes lies in the state and federal courts located in Delaware, except that Sniffo may seek injunctive relief in any court of competent jurisdiction.

If you are a consumer in the European Economic Area, the United Kingdom, or another region with mandatory consumer rights, nothing in these Terms limits rights you have under applicable consumer protection law.
